MEDIAPOINT WEBSITE AND ORDERING PORTAL – TERMS AND CONDITIONS OF TRADE

Important Summary:

Please read these Terms and Conditions carefully before using the Mediapoint website and ordering portal. By creating an account, submitting artwork, or placing an order, you agree to be bound by these Terms and Conditions, which govern all dealings between you (“the Customer”) and Mediapoint Pty Ltd (ABN 68 515 367 107) (“Mediapoint”, “we”, “us”, “our”). These Terms form the entire agreement between the parties and override any other conditions, representations, or correspondence unless expressly agreed to in writing by Mediapoint.

  1. DEFINITIONS

    • 1.1 “Customer” means the person, company, or entity placing an order through the Mediapoint website and ordering portal.
    • 1.2 “Goods” means all printed products supplied by Mediapoint to the customer.
    • 1.3 “Services” means any printing, finishing, packaging, or related services provided by Mediapoint.
    • 1.4 “Portal” refers to the Mediapoint website and ordering system through which orders are placed and managed.
    • 1.5 “Order” means any confirmed request by the customer through the portal for the supply of Goods and/or Services.
    • 1.6 “Quote” means a price estimate issued by Mediapoint valid for thirty (30) days.
    • 1.7 “Account customer” refers to a customer who has been approved for credit terms with Mediapoint.
  2. SCOPE OF AGREEMENT

    • 2.1 These Terms apply to all orders placed via the Mediapoint website and ordering portal.
    • 2.2 All customers must log in to the portal to access pricing and place orders; guest orders are not permitted.
    • 2.3 By submitting an order, the customer acknowledges having read and accepted these Terms.
    • 2.4 The products, specifications, turnaround times, finishing options, and packaging configurations shown within the Mediapoint website and ordering portal constitute the entirety of Mediapoint’s available offering. Mediapoint does not provide custom products, bespoke packaging, alternative turnaround times, or non-standard finishing outside what is displayed and orderable within the system.
    • 2.5 All quoting and ordering must be completed directly by the customer through the Mediapoint website and ordering portal. Mediapoint does not manually prepare quotes, enter orders, or account-manage customers. Any requests submitted outside the portal, including by phone or email, will not be accepted or processed.
    • 2.6 Mediapoint may update its available product range and specifications from time to time without notice.
  3. WEBSITE AND PORTAL USE

    • 3.1 The portal and all content, including templates, specifications, and pricing data, are the intellectual property of Mediapoint.
    • 3.2 The customer is granted a limited licence to use the portal solely for placing trade print orders.
    • 3.3 Unauthorised reproduction, distribution, scraping, or use of portal content is strictly prohibited.
    • 3.4 The customer must keep account credentials secure and is responsible for all actions performed under their account.
    • 3.5 Mediapoint may suspend or terminate portal access, or refuse future access, to any customer or company at its discretion for any reason.
  4. QUOTES, ORDERS AND ACCEPTANCE

    • 4.1 Saved quotes generated and stored within the Mediapoint website and ordering portal remain valid for thirty (30) days from the date of creation. After this period, the saved quote will automatically expire and must be re-created through the portal.
    • 4.2 The pricing shown in a saved quote is locked and guaranteed for the 30-day validity period. However, pricing in the portal may fluctuate between quotes due to changes in raw material costs, freight, or production factors.
    • 4.3 Submitting an order via the portal constitutes acceptance of the saved quote, approved artwork, and these Terms and Conditions.
    • 4.4 Mediapoint reserves the right to reject or amend any order for any reason, including but not limited to: artwork issues, file compliance problems, misquotes, or production limitations.
    • 4.5 Even if a proof has been approved, Mediapoint may reject or cancel the order if the job falls outside production or quality parameters (e.g., intricate cutting, unsuitable material, or technical constraints).
    • 4.6 All orders are subject to electronic confirmation by Mediapoint.
  5. PAYMENT

    • 5.1 All orders must be paid in full by credit card at the time of placement, unless the customer holds an approved account.
    • 5.2 No surcharges apply to card payments.
    • 5.3 Account customers are bound by the payment terms accepted during their account signup process, including any applicable interest, credit limits, and PPSA protections.
    • 5.4 Production will not commence until full payment and correct artwork are received and approved before the daily cut-off time.
    • 5.5 Mediapoint reserves the right to suspend or revoke credit terms at any time and convert the customer to prepaid status without notice.
  6. DELIVERY, FREIGHT AND RISK

    • 6.1 The Customer is solely responsible for selecting a freight carrier within the Mediapoint website and ordering portal. Mediapoint may offer several carrier options, which may change over time at Mediapoint’s discretion.
    • 6.2 The Customer must correctly designate whether the delivery address is business or residential. Any additional fees, surcharges, or re-delivery costs arising from incorrect address classification or incomplete delivery information will be charged to the Customer.
    • 6.3 All delivery and contact details entered at the time of ordering must be complete and accurate. Because Mediapoint’s production and dispatch systems are automated, delivery addresses, contact details, shipping labels, and delivery instructions cannot be added, amended, or changed after the order is submitted. Mediapoint accepts no responsibility for delays, mis-deliveries, or surcharges resulting from incorrect or incomplete information supplied by the Customer.
    • 6.4 Risk in the Goods transfers to the Customer immediately upon collection by the freight carrier or by the Customer from Mediapoint’s premises, whichever occurs first. Once the Goods have left Mediapoint’s facility, the Customer assumes full responsibility for loss, damage, delay, or delivery issues.
    • 6.5 Mediapoint is not liable for freight delays, carrier handling errors, or delivery failures of any kind. All delivery dates displayed within the portal are indicative only and not guaranteed.
    • 6.6 A consignment will not be considered lost until the nominated carrier formally declares it lost in writing, which may take several weeks or months. Recourse or credit for lost freight will only be considered once the carrier’s investigation and claim process are fully completed.
    • 6.7 Mediapoint will not be liable for any consequential or indirect loss, missed deadlines, customer commitments, or loss of profit resulting from freight delay, damage, or non-delivery, regardless of cause.
  7. TURNAROUND AND CANCELLATIONS

    • 7.1 All production and turnaround times shown on the portal are estimates only.
    • 7.2 Upon customer artwork approval, the order immediately enters Mediapoint’s automated production workflow.
    • 7.3 Because the workflow is fully automated, no cancellations, changes, or stops can be made once the order is approved.
    • 7.4 Cancelling an in-progress job would require interrupting entire print runs and manually intervening in prepress, affecting multiple customers; therefore, such cancellations are not possible.
    • 7.5 Any customer notes, comments, or special instructions entered within the ordering portal will be automatically disregarded. The Mediapoint system does not support or action order-specific notes, and by placing an order the customer acknowledges and agrees that all production will proceed solely according to the selections made within the system interface.
    • 7.6 If Mediapoint cancels an order due to technical or production reasons, the customer will receive a refund or credit at Mediapoint’s discretion.
  8. AUTOMATED WORKFLOW DISCLAIMER

    • 8.1 Mediapoint operates a highly automated print-to-dispatch system, including pallet-to-pallet and roll-to-roll workflows.
    • 8.2 Once an order is accepted, it proceeds automatically to print, finishing, and packaging without manual intervention.
    • 8.3 The customer acknowledges and agrees that Mediapoint cannot halt or amend production once the order has entered the automated queue.
  9. ARTWORK, PROOFING AND FILE REJECTION

    • 9.1 All proofing is performed by the customer through the portal’s automated proofing system. The customer must thoroughly review and approve all proofs prior to confirming the order.
    • 9.2 Mediapoint is not responsible for errors in spelling, grammar, resolution, design, sizing, or layout that appear in approved proofs.
    • 9.3 Mediapoint may reject or cancel any order where the artwork fails to meet technical requirements (including bleed, resolution, cut complexity, or colour profiles).
    • 9.4 Mediapoint may refuse to print any artwork it deems unlawful, defamatory, obscene, unethical, or otherwise inappropriate, including but not limited to material that depicts harm, discrimination, or illegal activity.
  10. PRODUCT USE, INSTALLATION AND TECHNICAL SPECIFICATIONS

    • 10.1 Mediapoint disclaims responsibility for defects arising from improper installation, substrate application, or exposure beyond recommended environmental conditions.
    • 10.2 Manufacturer technical data provided on Mediapoint’s website is supplied in good faith but may vary or change over time; Mediapoint does not warrant its accuracy.
    • 10.3 Mediapoint reserves the right to reject any job or product request for any reason, including suitability or safety concerns.
  11. COLOUR MANAGEMENT AND SAMPLES

    • 11.1 Colours may vary between materials, print runs, or printing equipment due to differences in ink formulation, substrate properties, environmental conditions, and calibration. Such variations are inherent in the print process and are not considered defects.
    • 11.2 For any order exceeding $1,000 (ex GST), it is the customer’s sole responsibility to order and approve a print sample before proceeding to full production if precise colour or material accuracy is important. Mediapoint is not obligated to offer or prompt the customer to obtain a print sample under any circumstances.
    • 11.3 If the customer chooses to proceed without a print sample, the customer expressly acknowledges and agrees that:
      • (a) Mediapoint makes no representation or warranty that the final production output will match any prior print, proof, digital file, or visual expectation;
      • (b) Mediapoint accepts no liability whatsoever for any perceived or actual variation in colour, density, texture, finish, or substrate performance; and
      • (c) Mediapoint’s liability, if any, shall not extend to remakes, refunds, or credits for such jobs, regardless of the order value.
    • 11.4 By proceeding without a print sample on orders over $1,000, the customer assumes full responsibility and risk for the final print outcome and waives all rights to claim recourse, remake, refund, or compensation related to print, colour, or material differences.
  12. QUALITY, DEFECTS AND RETURNS

    • 12.1 The customer must inspect all Goods upon delivery.
    • 12.2 Any claim for defective or non-compliant Goods must be lodged within three (3) days of delivery.
    • 12.3 Initial claims must include photo evidence; Goods must be returned for inspection before a remake or credit is approved.
    • 12.4 Mediapoint may, at its sole discretion, offer a remake, refund, or credit depending on the circumstances and order value.
    • 12.5 Custom printed Goods are generally non-refundable except at Mediapoint’s discretion.
    • 12.6 Minor colour variation, print difference, or reasonable production tolerance is not a defect.
  13. Installation, Handling & Environmental Exposure

    • 13.1 Mediapoint supplies printed products only and does not provide installation, application, or onsite fitting services. The Customer is solely responsible for the correct installation, mounting, and use of all Goods.
    • 13.2 Mediapoint accepts no liability for any damage, failure, or defect arising from:
      • (a) improper installation, incorrect mounting, or insufficient fixing;
      • (b) use of the Goods in high-wind, high-impact, or otherwise extreme environmental conditions;
      • (c) exposure to chemicals, solvents, cleaning products, fertilisers, pesticides, or any corrosive or abrasive substances;
      • (d) exposure to moisture, heat, UV, weathering, or environmental conditions beyond the manufacturer’s recommended tolerances;
      • (e) bending, flexing, cutting, drilling, or modifying the Goods after delivery.
    • 13.3 Manufacturer technical specifications published by Mediapoint (including wind ratings, outdoor suitability, longevity or durability expectations) are supplied in good faith and may vary or change over time. Mediapoint does not warrant that any product will perform to a particular standard once installed or exposed to environmental factors.
    • 13.4 Any defects, warping, peeling, deterioration, breakage, or material failure that occurs after installation, during handling, or during exposure to environmental or chemical conditions are not considered manufacturing defects and will not be eligible for remake, refund, or credit.
    • 13.5 By purchasing the Goods, the Customer assumes all responsibility for ensuring the product selected is appropriate for its intended environment and installation method.
  14. INTELLECTUAL PROPERTY AND ARTWORK OWNERSHIP

    • 14.1 The customer warrants that all artwork, logos, images, and content provided are owned by or licensed to the customer’s end client.
    • 14.2 Mediapoint accepts no liability for copyright, trademark, or IP infringement in any material supplied by the customer.
    • 14.3 The customer indemnifies Mediapoint against all claims, losses, or costs arising from infringement or misuse of artwork.
    • 14.4 Mediapoint may store artwork files for convenience but does not guarantee backup, long-term storage, or retrieval.
  15. TITLE, CREDIT AND ACCOUNT TERMS

    • 15.1 Title in the Goods remains with Mediapoint until full payment is received.
    • 15.2 Account customers are bound by Mediapoint’s Credit Terms and Conditions of Trade, which include PPSA security provisions.
    • 15.3 Mediapoint may suspend, revoke, or modify credit limits at any time and convert an Account customer to prepaid status without notice.
  16. PRICING ERRORS AND WEBSITE INFORMATION

    • 16.1 While every effort is made to ensure accuracy, Mediapoint is not liable for typographical errors, price discrepancies, or outdated information on its website.
    • 16.2 In the event of any such error, Mediapoint reserves the right to cancel or amend the affected order before production commences.
  17. LIABILITY, INDEMNITY AND LIMITATION

    • 17.1 To the fullest extent permitted by law, Mediapoint’s total liability for any claim is limited to the cost of the printing portion of the affected job, excluding freight, packaging, and handling.
    • 17.2 Mediapoint is not liable for indirect, consequential, or special damages including loss of profit, business interruption, or missed deadlines.
    • 17.3 The customer indemnifies Mediapoint against all claims, losses, or costs arising from misuse of the portal, submission of infringing artwork, or breach of these Terms.
  18. FORCE MAJEURE

    • 18.1 Mediapoint is not liable for any delay, failure, or inability to perform its obligations caused by events beyond its reasonable control, including but not limited to equipment breakdown, supply chain interruption, labour shortages, transport disruption, natural disasters, or acts of war.
    • 18.2 Such events do not entitle the customer to cancel or seek compensation.
  19. DISPUTE RESOLUTION AND COMMUNICATION

    • 19.1 Any dispute or issue must first be communicated to Mediapoint directly in writing.
    • 19.2 Both parties agree to attempt resolution in good faith before commencing legal proceedings or initiating chargebacks.
  20. PRIVACY AND DATA

    • 20.1 Mediapoint collects personal and business information for the purpose of processing orders and providing customer service.
    • 20.2 Information is handled in accordance with the Australian Privacy Principles.
    • 20.3 Customers should refer to the Mediapoint Privacy Policy available on the website for full details.
  21. SEVERABILITY

    If any clause of these Terms is found invalid or unenforceable, the remaining clauses shall remain in full force and effect.

  22. GOVERNING LAW

    These Terms are governed by the laws of the State of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria.
